Terms of Service

1. Overview

Barnyard Recs (“Barnyard Recs,” “we,” “us,” or “our”) is a platform that enables users to book 1-on-1 mentorship sessions, access digital content, and receive personalized support from verified instructors, primarily in the field of music production.

By accessing or using our Service, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access the Service.

These Terms apply to both users and instructors except where we expressly say otherwise. Our Service may be supplemented by additional terms (for example, structured programs, or digital downloads). If there is a conflict, the supplemental terms will control for that specific product.

2. Eligibility

You must be at least thirteen (13) years old to use Barnyard Recs. If you are under eighteen (18), you must have your parent or guardian's permission and supervision. We reserve the right to request proof of age or guardian consent at any time and to suspend or terminate accounts that fail to provide it.

3. User Accounts

• You must create an account using a valid email or social login and provide accurate information.
• You are responsible for keeping your login credentials secure.
• You are responsible for all activity that occurs under your account.
• You agree not to impersonate others or use false information.
• By creating an account, you consent to receive:
  • Essential security notifications (sent as needed)
  • Session-related communications (frequency depends on your booking activity)
  • Promotional and update messages (maximum 4 per month)
• Some communications are transactional and cannot be opted out of because they are required to deliver the Service.
• You can manage your communication preferences at any time:
  • For SMS: Text "STOP" to opt out of SMS messages
  • For Email: Click the "unsubscribe" link at the bottom of any email

• We reserve the right to terminate or suspend your account immediately, without prior notice or liability, for any reason, including violation of these Terms.

4. Session Booking & Payment

• You agree to pay all applicable charges for sessions, including platform service or processing fees.
• Payments are processed securely via Stripe. We do not store payment credentials.
• All sessions must be completed within sixty (60) days of the original booking date. Sessions not completed within this period may be forfeited without refund.
• Prices for services are subject to change without notice. Price changes do not affect confirmed bookings. We reserve the right to modify or discontinue any service without notice.
• You agree to provide current, complete, and accurate purchase and account information for all purchases made through our platform.
• Certain fees (including payment processing fees) may be non-refundable except where required by law.

5. Refunds & Rescheduling

• For the purposes of this Section 5, “Session Value” means the listed price of the applicable session at the time of booking, including any service or platform fees, before any discounts or promotional credits are applied.
• Each session includes one (1) complimentary reschedule if requested more than twenty-four (24) hours before the scheduled start time.
• For your first reschedule (while your complimentary reschedule is still available), requests made between two (2) hours and twenty-four (24) hours before the scheduled start time are subject to a fee equal to twenty-five percent (25%) of the Session Value. First reschedules requested less than two (2) hours before the scheduled start time are subject to a fee equal to fifty percent (50%) of the Session Value.
• After the complimentary reschedule has been used, any additional reschedule requested more than twenty-four (24) hours before the scheduled start time is subject to a fee equal to twenty-five percent (25%) of the Session Value. Additional reschedules requested between two (2) hours and twenty-four (24) hours before the scheduled start time are subject to a fee equal to fifty percent (50%) of the Session Value. Additional reschedules requested less than two (2) hours before the scheduled start time are subject to a fee equal to seventy-five percent (75%) of the Session Value.
• Sessions cannot be canceled. Failure to attend a scheduled session without rescheduling will result in forfeiture of the Session Value, and no refund will be issued.
• In limited circumstances, an instructor may need to reschedule a session. If this occurs, Barnyard Recs will work with you to find a replacement time. If no suitable replacement time is available, Barnyard Recs may issue a partial or full refund at its discretion.
• Refunds are not guaranteed. Refunds may be issued only if: (i) Barnyard Recs is unable to provide the session due to a platform or scheduling error; (ii) the session cannot be fulfilled and no suitable replacement time is available; or (iii) Barnyard Recs, in its sole discretion, determines that documented exceptional circumstances apply.
• Where Barnyard Recs determines that a refund is appropriate but a full refund is not warranted, Barnyard Recs may issue a partial refund. Partial refunds may exclude service or platform fees, payment processing fees, and any rescheduling fees already incurred, and may be prorated based on the portion of the service delivered. Any refund will be issued to the original payment method where possible.
• The rescheduling and refund terms in effect on the Site at the time you submit your reschedule request will apply.

6. User Conduct

You agree not to:

• Harass, abuse, or threaten instructors or other users.
• Share session recordings or materials without consent.
• Use the platform for illegal or unauthorized purposes.
• Disrupt the platform, reverse-engineer our software, or attempt to gain unauthorized access.
• Use any automated system or software to extract data from our platform (“scraping”).
• Interfere with or circumvent the security features of the Service.
• Make any unauthorized copies of any part of the Service.

We may remove content, suspend access, or terminate accounts that violate this Section 6.

7. Content and Copyright

• All content posted on our platform must comply with relevant copyright laws.
• You retain ownership of any content you create or upload (including audio, video, project files, and other materials). By uploading content, you grant us a worldwide, royalty-free, non-exclusive license to use, modify, and distribute it on our platform solely for the purpose of providing the Service.
• We respect copyright law and expect our users to do the same. We will respond to notices of alleged copyright infringement that comply with applicable law.

8. Data Protection and Privacy

• Your use of our Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference.
• You consent to the collection and use of your information as described in our Privacy Policy.
• We implement reasonable security measures to protect your personal information; however, no method of transmission over the Internet or electronic storage is 100% secure.

9. Service Availability and Modifications

• We strive to ensure our Service is available 24/7, but we do not guarantee uninterrupted access.
• We may modify, suspend, or discontinue any aspect of our Service at any time without notice.
• We are not liable for any service interruptions or data loss resulting from such modifications.

10. Instructor Conduct

Instructors must:

• Provide sessions as advertised and deliver the agreed value.
• Reschedule through the platform as early as possible when unable to attend a session. Failure to attend a scheduled session without rescheduling may result in account review.
• Refrain from soliciting off-platform transactions or communication.

11. Intellectual Property

• Users retain rights to their own original music or content.
• By using Barnyard Recs, you grant us a license to use aggregated session data and user feedback (including ratings and reviews) to improve the platform and display on instructor profiles.

12. Disclaimers & Platform Rights

• We do not guarantee specific outcomes from mentorship sessions.
• Instructors are independent contractors, not employees of Barnyard Recs. Instructors are vetted but operate independently. Barnyard Recs is not a party to, and is not liable for, the performance of any session between a user and an instructor.
• Any information, advice, or guidance provided through sessions is for educational purposes only and should not be considered professional, financial, or legal advice.
• All content, branding, and software are owned or licensed by Barnyard Recs.
• We may modify or discontinue features without prior notice.

13. Limitation of Liability

To the fullest extent permitted by law, Barnyard Recs shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to your use of the platform or any sessions.

To the fullest extent permitted by law, our total liability to you for any claim arising out of or relating to the Service will not exceed the total amount you paid to Barnyard Recs for the Service giving rise to the claim in the twelve (12) months preceding the event.

14. Governing Law & Disputes

These Terms are governed by the laws of the State of California. We will do our best to resolve any disputes through informal, good faith negotiations. If a dispute cannot be resolved informally, it will be resolved in the state or federal courts located in Los Angeles County, California. This choice of law does not deprive you of mandatory protections under the laws of your country of residence where such protections cannot be waived.

15. Changes to These Terms

We may update these Terms at any time. Material changes will be notified via email or in-app message. Continued use after changes constitutes acceptance. If you do not agree to the updated Terms, you must stop using the Service. It is your responsibility to review these Terms periodically.

16. Indemnification

You agree to indemnify and hold Barnyard Recs and its affiliates, officers, agents, and employees harmless from any claim or demand, including reasonable attorneys' fees, made by any third party due to or arising out of your breach of these Terms, your content, your use of the Service, or your violation of any law or the rights of a third party.

17. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect and enforceable.

• Dispute Resolution: Terms are governed by California law, with disputes resolved in Los Angeles County courts.
